Foreign business ownership

Own and control 100% of your company as a foreigner.

As a general rule, foreigners are allowed to own 100% of a company registered in Malaysia by incorporating a local company or registering a foreign entity in Malaysia. In certain cases, however, such as operating in education, banking and finance, agriculture or tourism industries, companies face stricter rules and require local Malay co-ownership (at least 30% of the capital) and other requirements may apply, such as higher minimum paid up capital and WRT license.

Registration process

Simple steps to start your new business.

1. Conduct a name search

The first step to registering a new company in Malaysia is conducting a name search. Its purpose is to determine whether the proposed company name is available.

2. Drafting and submission of registration documents

Registration documents must be prepared and submitted to SSM no later than one month after receiving the approval for the proposed company name. Failing to meet this window will result in having to go back to the previous step and conduct a new name search.

3. Receiving certificate of registration

A successful submission ends with receiving a certificate of registration issued by SSM. The company is then ready to operate.

What are the shareholder requirements?
A private limited company needs to have at least one shareholder, which can natural (a person) or juristic (a company). The shareholder(s) can be local, foreign or a mix.
Does the company secretary need to be resident?
Yes, there is a requirement that the authorised Company Secretary have resident status in Malaysia. This is one of the reasons we offer a full Company Secretary service.
